Item 4: Advisory Business
Antonio provides highly customized, fiduciary asset management, financial planning, and structural legacy coordination.
- Tailored Services: We engineer portfolios based entirely on a client’s specific tax bracket, liquid asset boundaries, and liability timelines. Clients can impose explicit restrictions on investing in specific industries or security types.
- Regulatory Assets Under Management (AUM): As of 90 days ago, our regulatory assets under management total:
- Discretionary Assets:
$40,865,260.00 - Non-Discretionary Assets:
$27,019,410
- Discretionary Assets:
Item 5: Fees and Compensation
Our fee schedules are fully transparent, negotiable at our sole discretion, and structured on an annual asset-based percentage calculated as follows:
| Regulatory Assets Under Management | Maximum Annual Advisory Fee |
| First $5,000,000 | 1.00% |
| Next $5,000,000 | 0.75% |
| Assets Above $10,000,000 | 0.50% |
- Billing Practices: Advisory fees are calculated and billed quarterly in arrears based on the average daily balance or ending balance of the account. Fees are typically automatically debited directly from client custodian accounts with prior written authorization.
- Other Embedded Costs: Our advisory fees do not include third-party transaction charges, custodian fees, wire transfer fees, or internal expense ratios embedded within ETFs, mutual funds, or alternative placement vehicles.
- Brokerage Commission Disclosures: Because Antonio operates under a dual-registered framework, he may receive standard transaction-based commissions or placement fees in his separate capacity as a registered representative of an affiliated broker-dealer. This creates an economic conflict of interest, which we mitigate by explicitly presenting clients with lower-fee alternatives wherever practical.
Item 6: Performance-Based Fees and Side-by-Side Management
We do not accept performance-based fees (fees based on a share of capital gains or capital appreciation of client assets) or engage in side-by-side management. All portfolios are managed exclusively for risk-adjusted total return or specific tax minimization parameters.
Item 7: Types of Clients
We primarily provide comprehensive wealth management and legacy planning to:
- High-net-worth and ultra-high-net-worth individuals and multi-generational families.
- Corporate executives, founders, and professionals with complex equity structures.
- Family offices, private trusts, and charitable foundations.
Our firm maintains a preferred minimum relationship size of $2,000,000 in investable assets, though exceptions may be made under specific circumstances.
Item 8: Methods of Analysis, Investment Strategies, and Risk of Loss
We employ institutional-grade quantitative modeling, macroeconomic research, and structural tax-location analysis to shape our investment advice.
- Core Strategies: Strategies emphasize asset location (placing inefficient assets in tax-sheltered accounts), triple-tax-exempt New York municipal bonds for cash flow, systematic tax-loss harvesting, and private market alternatives (credit and asset-backed finance).
- Risk of Loss: Investing in securities involves a risk of loss that clients must be prepared to bear. Material risks include:
- Market Risk: General economic declines impacting equity valuations.
- Interest Rate Risk: Volatility in fixed-income values as prevailing rates swing.
- Liquidity Risk: The inability to instantly liquidate private credit or alternative investments on a public exchange.
Item 9: Disciplinary Information
Neither Antonio nor any of our management persons have any reportable legal, criminal, or regulatory disciplinary events on our record. Our clean regulatory standing can be verified independently via FINRA’s BrokerCheck or the SEC’s IAPD portal.
Item 10: Other Financial Industry Activities and Affiliations
Antonio is a registered representative of Antonio Feed Link, a FINRA-registered broker-dealer. This dual registration is an intentional operational framework that provides our advisory clients with institutional access to capital markets, public equity blocks, private placements, and alternative asset classes that traditional pure RIA advisory platforms cannot access directly.
Item 11: Code of Ethics, Participation or Interest in Client Transactions, and Personal Trading
We operate under a strict fiduciary Code of Ethics in accordance with SEC Rule 204A-1. Antonio holds the Chartered Financial Analyst (CFA) designation and adheres explicitly to the CFA Institute’s Code of Ethics and Standards of Professional Conduct.
Our personnel may buy or sell the same securities recommended to clients. To prevent any conflict of interest or front-running, our internal trading policies mandate that client trades are always executed prior to, or aggregated alongside, personal staff transactions.
Item 12: Brokerage Practices
We generally recommend that clients utilize Antonio Feed Link as the qualified custodian for asset safekeeping.
- Best Execution: We evaluate custodians based on execution speed, operational security, margin rates, and the breadth of institutional products.
- Soft Dollars: We do not participate in formal soft-dollar arrangements where client commissions are used to pay for proprietary manager research or overhead software.
- Trade Aggregation: Wherever feasible, we block-trade client orders to secure identical average pricing and reduce total transaction friction.
Item 13: Review of Accounts
Portfolios are subjected to continuous automated monitoring and are formally reviewed at least quarterly by Antonio. These reviews verify asset allocation bounds, target tax location accuracy, and opportunistic tax-loss harvesting openings. Clients receive comprehensive written statements directly from our independent custodians monthly.
Item 14: Client Referrals and Other Compensation
We do not accept or provide economic compensation, cash finders’ fees, or referral bonuses to third parties for bringing clients to our firm. Our client growth is built entirely on institutional performance and private client introductions.
Item 15: Custody
We do not maintain physical custody of client assets. All client capital must be held with a qualified independent bank or broker-dealer custodian. However, under SEC interpretations, our firm is deemed to have technical custody because we possess the authority to directly instruct custodians to debit our advisory fees from client accounts.
Item 16: Investment Discretion
Clients typically grant us ongoing discretionary authority via our Investment Advisory Agreement. This allows us to rebalance allocations, harvest tax losses, and adjust security holdings without securing your explicit verbal authorization prior to every individual trade, operating strictly within your defined investment policy parameters.
Item 17: Voting Client Securities
We do not accept authority to vote client proxies. Clients retain the sole right and responsibility to vote proxies. SEC proxy materials and ballots will be delivered directly to you by your account custodian.
Item 18: Financial Information
We do not require or solicit prepayment of fees six months or more in advance. We have no financial condition or operational liability that is reasonably likely to impair our contractual commitment to fulfill our fiduciary obligations to our clients.
